1. Acceptance of Terms

By accessing and using Upshot ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

Upshot is an AI-powered image editing service that enhances real estate and property photographs. The service includes but is not limited to sky enhancement, lighting correction, interior cleanup, color enhancement, and object removal.

3. Service Provider

Upshot is operated by Sahil Dawka as a sole proprietor. The service is not provided through a corporation, LLC, or other business entity.

4. User Eligibility

You must be at least 18 years old to use this service. By using Upshot, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

5. Pricing and Payment

• Single image edit: $1 (includes 3 AI revisions)
• Bulk discount: $10 for 11 edits (save $1)
• Enterprise: $100 for 111 edits (save $11)
• Free credit: 1 image edit with 1 revision for new users
• Credits are non-refundable once purchased
• Credits never expire and can be used at any time
• All prices are in USD and subject to change with notice

6. User Content and Responsibilities

You are solely responsible for the content you upload and submit to the Service. You represent and warrant that:

• You own or have the necessary rights to all content you upload
• Your content does not violate any applicable laws or regulations
• Your content does not infringe on the rights of any third party
• Your content is not defamatory, obscene, or otherwise objectionable
• You have obtained necessary permissions for any recognizable individuals in your images

7. Intellectual Property

You retain ownership of your original images. The enhanced images created through our service are provided to you for your use, subject to these terms. We do not claim ownership of your content.

The Upshot service, including its technology, algorithms, and software, remains our intellectual property.

8. Disclaimers and Limitations

Service Availability: We strive to provide reliable service but cannot guarantee uninterrupted availability. The service is provided "as is" without warranties of any kind.

Content Responsibility: We take no responsibility for the content you upload or how you use the enhanced images. You are solely responsible for ensuring your use complies with applicable laws and regulations.

Statistics and Claims: Any statistics, testimonials, or performance claims on our website are based on publicly reported data and user experiences. Individual results may vary.

9. Limitation of Liability

To the maximum extent permitted by law, Sahil Dawka and the Upshot service shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or relating to your use of the service.

Our total liability to you for any claims arising from your use of the service shall not exceed the amount you paid for the service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Sahil Dawka and the Upshot service from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, your content, or your violation of these terms.

11. Privacy and Data

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the service, to understand our practices regarding your personal information.

12. Termination

We may terminate or suspend your access to the service immediately, without prior notice, for any reason, including breach of these terms. Upon termination, your right to use the service will cease immediately.

You may terminate your use of the service at any time by discontinuing use. Any credits you have purchased will remain available for use.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new terms on this page. Your continued use of the service after such modifications constitutes acceptance of the updated terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Sahil Dawka operates, without regard to conflict of law principles.
